In this episode, Francine Esposito of Day Pitney explored the National Labor Relations Board (NLRB) General Counsel's recent recommendations that stay-or-pay, moonlighting and non-competition agreements be deemed unlawful under the National Labor Relations Act (NLRA), a pivotal federal labor law that applies to unionized and non-unionized workplaces alike. Esposito explained the General Counsel advocates for broad "make-whole" relief, which would require employers to compensate employees for speculative lost wages and benefits resulting from these provisions. Esposito also addressed recent NLRB cases banning employers’ use of “captive audience meetings” and limiting what employers can tell employees about the impact of choosing to unionize, as well as additional changes likely resulting from President Trump’s reelection.

622: Whistleblowing Regulations in Poland

In 2019, the EU issued the European Parliament and Council Directive (EU) 2019/1937 on the protection of persons who report breaches of EU law. This directive has obliged all member states to implement comprehensive whistleblower protection regulation by December 2021, aiming to ensure that individuals who report misconduct or illegal activities within organizations are safeguarded from retaliation.

While all other EU member states have successfully introduced their respective regulations, Poland has been notably delayed in this process. The delay has not gone unnoticed, as Poland has already faced sanctions from the Court of Justice of the European Union (CJEU) for failing to meet the directive's deadline.

However, there is significant progress to report. On June 14, 2024, Poland has adopted its Whistleblower Protection Act. Most of the new legislation came into force on September 25th, 2024. This new legislation marks a pivotal step towards aligning with EU standards and providing essential protections for whistleblowers within the country.

Today, we will be discussing the European Directive on whistleblower protection and the new Polish Whistleblower Protection Act, especially from the viewpoint of Polish employers.

The company and the employee entered into a Bonus Agreement that stated bonus payments would be made every 6 months at a certain percentage based on the achievement of a net profit target, and that the payment is “subject to the final decision of the company”. Except for the new profit target, the agreement is silent on the conditions for bonus payment or the circumstances under which the company would exercise its discretion not to pay the bonus.

On December 29, 2022, President Biden signed this Act into law, which in addition to addressing government funding, included two laws that provide greater protections for pregnant and nursing employees in the workplace: The Pregnant Workers Fairness Act, or the PWFA, and the Providing Urgent Maternal Protections for Nursing Mothers Act, or the PUMP Act.

Today’s discussion will focus on how these new federal laws expand protections for pregnant and nursing employees, and how employers can adapt and implement policies and procedures in response to these changes. In July 2021, President Biden issued an Executive Order which encouraged the Federal Trade Commission to curtail the unfair use of non-compete clauses and other clauses that may unfairly limit worker mobility. The FTC recently proposed a new rule that would ban employers from imposing non-competes on their workers - the FTC is seeking public comment on this proposed rule.

After more than 7 years in force, the Angolan National Assembly is currently finalizing the process for the full amendment of the General Labor Law approved by Law no. 7/15, of 15 June 2015. The proposed changes will be quite relevant, notably regarding remuneration standards and on the hiring and termination of employees. The intention is to have more employee-friendly rules, nonetheless there is a heated debate on some proposed amendments and their potential implications in the labor market. This Vlog is aimed at discussing the amendment process and its main ramifications for companies and employers.
